Robert H. Maclay is a member of the firm's

He concentrates on tax and corporate matters as well as estate planning and represents a broad spectrum of closely held businesses in their corporate and tax planning matters. He has considerable experience in business transactions, including the sale and acquisition of businesses, buy-sell transactions between shareholders and shareholder disputes. He has worked extensively in the nonqualified plan area, including nonqualified deferred compensation, phantom stock and stock options. Mr. Maclay also represents a number of nonprofit groups, including trade associations and charitable organizations. He assists health care organizations concerning their tax, corporate and regulatory needs, and handles matters before State and federal regulatory agencies.
A frequent lecturer in support of continuing legal education, Mr. Maclay has spoken to the Montgomery-Prince George's Continuing Legal Education Institute, the D.C. Bar Association - Georgetown University Estate Planning Program and the Practicing Law Institute. He has co-authored numerous lecturing outlines as well as an article in Taxation for Lawyers on "The Debt-Equity Regulations under Section 385 of the Internal Revenue Code" and "The Use of Life Insurance in Estate Planning."
Mr. Maclay received his B.A. cum laude from Harvard University and his J.D. from Catholic University. He is a member of the Maryland and District of Columbia bars, various federal bars, the Maryland, District of Columbia and American Bar Associations and the Sections on Taxation and Estates & Trusts.
