Institutional Financing

For over 35 years, we have helped lenders and borrowers structure a broad array of sophisticated financing transactions, including large public agency credit-enhanced public financings, asset-based loan transactions and real estate financings. Our representation of local and regional banks has given us invaluable insight into the economic and legal requirements of such sophisticated transactions.

Project Finance

Our attorneys advise developers of residential and commercial property on all financial and transactional stages of project development and finance. We negotiate and prepare agreements for land or site acquisition, draft letters of intent, help coordinate both construction and permanent financing, and also prepare contractor, subcontractor and investor documentation.

Investments, Acquisitions and Syndications

Members of this practice group help project developers and syndicators structure creative financing arrangements for investment opportunities. We work actively with investment bankers, accountants and our Real Estate and Business/Commercial Transactions practice groups to determine the most effective method of capital mobilization for the purchase of a business, including the use of post-acquisition cash flow.

Private Lending

While commercial banks, savings banks, insurance companies and large pension plans are traditionally the source of most financing, sometimes a transaction is funded by a private source, such as a family member, business associate, closely held corporation, partnership, private pension plan or other private source. Drawing on our corporate and ERISA experience, we are able to provide comprehensive and efficient assistance to help structure and close transactions for borrowers as well as private lenders.
